Day 1

9:00am - 9:20am - Registration
Come join us, register your arrival, and mingle with the other attendees and workshop leaders.

9:20am - 9:40am - Overview and Introduction
We will touch on whether you are sure you need outside investment, pros and cons, whether debt financing is an alternative, and other general questions and misconceptions.

9:40am - 12:30pm - Company Structures
The morning will be focused on company structures, and which are attractive to outside investors.

  • Company Formation and Choice of Entity
    Different company structures available, pros and cons, misconceptions, and pitfalls. Which entities do investors prefer?
  • Equity Allocations
    Equity in all of the entity types, shareholder agreements, operating agreements, partnership agreements, and typical deal scenarios. How much of my company should I give away?
  • Protecting Your Trade Secrets and Intellectual Property
    Non-disclosure agreements, copyrights, trademarks, and patents. Proprietary rights agreements. What should I spend money on protecting, and when is the right time?
  • Employees, Options, and Incentives
    Employment issues, option plans, and aligning motives. How do I protect my company, and what do investors expect?

12:30pm - 2:30pm - Lunch
A group lunch will be provided, courtesy of Terem Capital, at a venue nearby the workshop location.

2:30pm - 3:00pm - Investment Documents Work Session
This work session focuses on introducing you to the laws governing the selling of stock in your company. Critical need-to-know material on Federal Laws and State Blue-Sky Laws will be covered, as well as what we call the "legal document laundry list."

3:00pm - 5:30pm - "The Investor Meeting" Work Session
- Part I

The investor meeting is the critical event. This part of "Raising Capital" is focused on what you need to know before you have your first investor meeting in order to prepare the right information, and present it in the proper way.

  • Investor Presentations and Pitching for Capital
    What should your presentation include? What is superfluous? What do investors want to hear? What do they not want to hear? Part I will go over the format of your presentation, and the format of a typical meeting, in preparation for a more in-depth treatment in the morning of Day 2.

6:00pm - 8:00pm - Cocktails
A cocktail reception will be held nearby to provide time for participants to network with each other and the workshop leaders. Location will be announced at the workshop.

Day 2

9:30am - 3:00pm - "The Investor Meeting" Work Session
- Part II

Having been introduced to the investor meeting in Part I, Part II will dive deeper into critical areas. (Please note, instead of adjourning for lunch, a 30-minute catered lunch will be provided in order to leave sufficient time to cover the material on Day 2 fully.)

  • Term Sheets
    What a typical term sheet covers, and typical terms for a seed or early stage investment.
  • Valuations
    Financial statements, pro-formas, what your company is worth to investors, and the data to back it up. How does one calculate the pre- and post-money valuation of a company?
  • 30-minute Catered Lunch
    Sandwiches and salads will be served in the workshop room.
  • Investor Negotiations
    Rules on giving different terms to different investors. Strategies for being firm and persuasive. What can you do to get the best deal?
  • The Investor Point-of-View
    Investors have a point-of-view that is different from the entrepreneur's. Often it seems as though they have objectives that can be at odds with the entrepreneur's. Understand what they are thinking when they hear your pitch, and address those items in the best possible way.
  • Investor Due-Diligence and Scrutiny
    Now that you've got an investor interested, it's only the beginning. How deep will investors dig and where? If investors don't rake you over the coals, it might not be a good thing. In this section we will go through a sample due-diligence checklist and discussion.
  • What Happens After You Receive Capital
    What issues do you face with outside investors? In this section we will cover common and effective investor relations practices and on-going investor issues.

3:00pm - 5:30pm - Elevator Pitch Work Session
Being able to tell an investor, in succinct summary form, why they should invest in you, your company, and your idea, is critical. In this work session, everyone will have the opportunity to develop and practice a summary pitch to investors, which can later be used in developing your full pitch.
